In 2010 I founded Phelan Gas Company, a propane delivery business serving residential and commercial customers across Southern California.

What started as a small operation with one truck and a small bulk plant in Phelan grew steadily over the years into a successful company with over 3,500 loyal customers. I’m proud of what we built—a reliable, customer-first business rooted in community and hard work.

By the mid-2020s, organic growth had naturally slowed. We had captured a significant share of our local market, which made further expansion challenging without pursuing acquisitions. I began exploring the idea of buying a small competitor to keep scaling the business.

That’s when I reached out to Legacy Energy Consulting for an independent valuation.

I wanted an objective view of what my company was truly worth before committing more capital and risk to grow the business. Granted, this was an extreme situation, however Chad Pendill owner of Legacy Energy Consulting was able to navigate a successful closing.

This particularly unusual challenge arose for Legacy Energy Consulting when, after two months of marketing the business and finalizing an offer with our preferred buyer, the owner passed away just two weeks after the agreement was signed. This left both our team at Legacy Energy Consulting and his family responsible for completing due diligence and seeing the deal through to a successful closing for the propane business that Legacy Energy Consulting was contracted to sell.

Several factors contributed to successfully closing the sale under such circumstances.

Having a knowledgeable business broker who could guide everyone through complications proved invaluable. Selecting the right buyer also made a significant difference; many prospective buyers might have withdrawn following such a major and potentially disruptive event. Fortunately, our chosen buyer responded with integrity, helping expedite the closing process to bring closure to the family, staff, and customers.

MFA Oil Co., a farmer-owned energy supply cooperative, acquired the propane operations of Hamilton Produce Co., located in Bloomfield and Ottumwa, Iowa.

Legacy Energy Consulting facilitated the sale of the propane operations of Hamilton Produce Co.. The deal includes customer accounts, trucks, storage tanks, an office in Ottumwa and employees.

“We are excited to welcome Hamilton Produce energy employees to our team,” says Kenny Steeves, senior vice president of MFA Oil operations. “This is a great opportunity to extend our propane service farther north into Iowa, and we look forward to delivering the same high level of service that Hamilton Produce propane customers have come to expect.”

The acquisition adds to the cooperative’s established presence in southeast Iowa, with a Petro-Card 24 fuel station in nearby Bloomfield and a bulk fuel and propane plant in Centerville.

Doug Dick, who has overseen propane operations at Hamilton Produce for the past 20 years and is an owner of the business, will now manage the office in Ottumwa for MFA Oil.

“I’m looking forward to working with MFA Oil and ensuring our customers continue to receive excellent propane service,” Dick says.

Palmdale Oil, a provider of fuels, propane, lubricants and chemicals with delivery solutions across Florida, acquired Maassen Oil Co. Inc., a Florida-based distributor of refined fuel, lubricants and propane. Financial terms of the transaction were not disclosed.

Legacy Energy Consulting facilitated the acquisition for Maassen Oil.

Founded in 1931 and based in Arcadia, Florida, Maassen supplies a diverse product offering, including propane, dyed off-road diesel and clear on-road diesel, gasoline and lube oils to a broad base of commercial and residential customers across the region.

The transaction enables Palmdale to strategically expand its capabilities and bulk plant footprint across Florida. The family-owned business, headquartered in Palm Beach Gardens, Florida, operates in more than 50 counties across the state.

“Like Palmdale, Maassen is a family-owned business that prioritizes personalized customer service,” says Lachlan Cheatham, CEO of Palmdale. “This partnership will enhance our transportation efficiency and allow us to maintain our exceptional service standards while reaching more customers within the Tampa and Fort Myers regions.”

PacWest Propane was started by "Ole" Carson Drageland, Derrick Grice and Frank Dollar and has serviced central Washington since 2013.

PacWest Propane is the first completed deal for Legacy Energy Consulting in 2023, and its 13th since December of 2020.

Statement from the Seller:

We started out calling Chad & Tyler at Legacy Energy Consulting for a business appraisal. That soon led to 17 potential Buyers and initiated NDA's. Mind you, this was in the middle of the heating season and we had a business partner out for severe health issues.

Buckle up, it's quite a journey, knowing what we know now, we would recommend that no one attempt this on their own. Legacy is well worth every penny spent in Marketing your Business and filtering all communications with the potential Buyers. Chad really kept us grounded and helped with the overwhelming process of document procurement, due-diligence etc. His background in the industry, coupled with past experiences and inner workings of deals of all sizes is truly invaluable. Chad will not overwhelm you with the details further up the timeline/process unnecessarily. As the next phase is approaching, he will then start to prepare you. Communication is tantamount and he was always available to help keep the ball rolling forward. If memory serves correctly, Chad was working two much larger deals after we started the process and we always felt like we were his only client at the time.

Chad & Tyler connected us with the right buyer that was cohesive with regards to employee satisfaction, customer care and safety. Obviously, any family business is close-knit and has emotions tied to employees and customers, so this was paramount to us. All in all, we handed the keys to our business over to a buyer, that realized and appreciated the value in what we had created top to bottom and that is a great feeling in the end.

We have since referred Legacy to two other potential clients, because of our amazing experience together. Chad and Tyler truly care and are authentic.

Central Florida Propane has served the central Florida market for over 50 years, getting its start in 1971 by Terry’s father Weldon, who started the business as RV Gas, which primarily filled bottles. In 2000 Terry expanded the business in the commercial and residential bulk delivery markets and changed the name to Central Florida Propane.

Central Florida Propane is Legacy Energy Consulting’s tenth completed sales since being founded in 2020, it’s fifth sale in Florida and fifth completed deal of 2022.
