ThompsonGas Acquires Dixie LP Gas and Gas Heat

FOUNTAIN HILLS, AZ – October 21, 2026 – Legacy Energy Consulting, a prominent merger and acquisition advisory firm serving the propane industry, announced today the successful sale of Dixie LP Gas, Inc. (“Dixie LP Gas”) of Augusta, Georgia, and Gas Heat, Inc. (“Gas Heat”) of Trenton, South Carolina, to ThompsonGas, LLC (“ThompsonGas”), headquartered in Frederick, Maryland.

Dixie LP Gas and Gas Heat represent more than six decades of family ownership and local propane service in Georgia and South Carolina. Founded by Thore and Virginia Lippert and later led by their daughter, Caroline Guay, the businesses built strong customer relationships and a long-standing reputation for dependable service.

The transaction brings Dixie LP Gas and Gas Heat under ThompsonGas, a national propane provider positioned to continue supporting the companies’ customers, employees, and communities.

Caroline Guay commented, “We are pleased to complete this transaction with ThompsonGas and confident they are the right buyer to continue serving our customers with the care they expect. Chad, Dustin, and the Legacy Energy Consulting team guided us through each stage of the sale process with patience, professionalism, and clear advice. Their support made a complex transaction manageable, and we appreciate their role in helping us achieve a successful outcome.”

For over 80 years, ThompsonGas has been the trusted name in propane. Their well-known brand began with Lloyd and Dorothy Thompson in a Boonsboro, Maryland storefront in 1946, with a promise to provide quality products and service to their customers. ThompsonGas CEO Erik Peterson expressed enthusiasm for the transition: “We are excited to welcome Dixie LP and Gas Heat to the ThompsonGas family. Their addition strengthens our presence in the Georgia and South Carolina markets and, just as importantly, brings talented teams and valued customers into our organization. We look forward to building on their strong local relationships and making both their employees and customers feel right at home with ThompsonGas.”

“This transaction reflects the strength of the businesses Caroline and her family built and the importance of finding a buyer in ThompsonGas that is aligned with their values,” said Chad Pendill, founder and President of Legacy Energy Consulting. “We were honored to advise Dixie LP Gas and Gas Heat through a structured process focused on continuity for customers, employees, and the communities they serve.”

Legacy Energy Consulting served as exclusive financial advisor to Dixie LP Gas and Gas Heat, providing valuation guidance, confidential buyer outreach, transaction strategy, negotiation support, and due diligence coordination. Chad Pendill, Dustin Shafer, and Tyler Pendill managed the transaction, which marks Legacy Energy Consulting’s fourth transaction in 2026 and thirty-first transaction since 2020.
