Once an LOI is signed, the buyer begins due diligence, which is often one of the largest and most demanding stages of the entire sale process. For our client, this review can be extensive because buyers evaluate financial performance, customers, gallons sold, tanks, fleet, equipment, employees, safety, environmental matters, systems, contracts, insurance, and regulatory compliance. The purpose is to confirm the buyer's understanding of the business and identify issues that may affect value, structure, or closing.


What our clients should expect: Diligence is a large undertaking, time-sensitive, and often disruptive if it is not organized before requests begin coming in. Buyers will ask for support, clarification, schedules, records, reports, and documentation across many areas of the business, often with follow-up questions as materials are reviewed. Legacy Propane of Allison, IA was originally established as Allison Propane in 1972 and was acquired by Heritage Petroleum of Evansville, IN as part of its much larger acquisition of Diamond Oil in February of 2025.
